The Company, a Delaware corporation established on March 19, 2007, was formed to invest in California oil & gas opportunities, initially as an advocate for the interests of shareholders and creditors of South Coast Oil Corporation (“SCOC”). In late 2007, SCOC (whose assets are comprised totally of on-shore oil and gas properties) was forced into an involuntary Chapter 11 Bankruptcy proceeding, which became a confirmed bankruptcy case in January of 2008. Subsequently, the Company’s efforts shifted to the formulation of an alliance with E & B Natural Resources Corp., a major, California-based oil & gas operating company (“E&B”), and together with E&B on a collaborative basis, the development of strategies to purchase some or all of the assets of SCOC, or, alternatively, to pursue a Plan of Reorganization, with or independently of E&B. The Company also intends to pursue other investment opportunities in the oil & gas and real estate sectors. Company in addition to financing several million dollars in SCOC related consulting/legal endeavors and has directly invested $400,000 in a loan to SCOC's subsidiary, Angus Petroleum Corporation. During this process Company has become a work-out specialist, and an expert in corporate consulting and litigation advisory services.
